Agreement to Terms
By accessing or using VEMIO™ ("the Service"), you agree to be bound by these Terms of Service. The Service is operated by Vinay Enterprises ("we," "us," "our"), a registered business based in Ahmedabad, Gujarat, India.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
If you do not agree to these terms, do not use the Service.
Description of Service
VEMIO is a multi-tenant network intelligence platform designed for Managed Service Providers (MSPs). The Service provides real-time device monitoring, intelligent alerting, change governance, Business Continuity Scoring, and automated reporting.
Access to the Service is provided on a subscription basis. Features, pricing, and service tiers may vary and will be specified in your service agreement.
Accounts & Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.
We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behavior, or pose a security risk to the platform or other users.
MSP administrators are responsible for managing user access within their tenant, including inviting, removing, and assigning roles to users.
Your Data
You retain all rights to the data you submit to or generate through the Service ("Your Data"). This includes network telemetry, device information, alert history, reports, and any other data associated with your tenant.
We process Your Data solely to provide the Service. We do not sell, share, or use Your Data for purposes unrelated to service delivery.
You are responsible for ensuring that you have the right to submit any data to the Service, and that doing so does not violate any applicable laws or third-party rights.
Upon termination of your account, you may request export of Your Data. We will make Your Data available for export for 30 days following termination, after which it will be permanently deleted.
Data Isolation
VEMIO is a multi-tenant platform. Each tenant's data is logically isolated at the database level. No tenant can access another tenant's data. MSP administrators may access data across their managed tenants only where explicitly authorized by the service agreement.
Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or regulation
- Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure
- Interfere with or disrupt the Service or its security features
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use the Service to transmit malware, spam, or other harmful content
- Resell or redistribute access to the Service without written authorization
- Use automated tools to scrape, harvest, or extract data from the Service beyond normal API usage
Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We will make reasonable efforts to notify you of planned maintenance in advance. Unplanned outages will be communicated as promptly as possible.
Specific uptime commitments, if any, will be defined in your service level agreement (SLA).
Intellectual Property
VEMIO™ is a trademark of Vinay Enterprises. The Service, including its design, code, features, and documentation, is the intellectual property of Vinay Enterprises and is protected by applicable intellectual property laws.
Your use of the Service does not grant you any ownership rights in the Service itself. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.
White-label features allow you to apply your own branding to client-facing outputs. This does not transfer any intellectual property rights in the underlying Service.
Payment & Billing
If your use of the Service requires payment, billing terms will be specified in your service agreement. Fees are non-refundable except as required by applicable law or as specified in your agreement.
We reserve the right to modify pricing with 30 days' written notice. Price changes will take effect at the start of your next billing period.
Limitation of Liability
To the maximum extent permitted by applicable law, Vinay Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, revenue, or business opportunities.
Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
The Service is provided for network monitoring and intelligence purposes. It is not a substitute for professional network engineering, security auditing, or compliance consulting.
Indemnification
You agree to indemnify and hold Vinay Enterprises harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
Termination
Either party may terminate the service relationship in accordance with the terms of the service agreement. Upon termination:
- Your access to the Service will be revoked
- You may request export of Your Data within 30 days
- After the 30-day period, Your Data will be permanently deleted
- Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect
Modifications to Terms
We reserve the right to modify these terms at any time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you via the Service or email.
Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
